End User Licence Agreement & Terms of Service
Please read these Terms carefully before purchasing or activating ScriptCue. By purchasing a licence, activating the software, or continuing to use it, you agree to be bound by these Terms. If you do not agree, do not install or use the software.
1. Licence Grant
Subject to your compliance with these Terms and payment of the applicable licence fee, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use ScriptCue on a single device at a time, solely for your own personal or internal business purposes.
This licence does not transfer any title or ownership in the software to you. You are acquiring a right to use the software only.
2. Permitted Use
You may:
- Install and run ScriptCue on one device at a time under a Standard licence.
- Make one backup copy of the software for archival purposes.
- Use the software for any lawful personal or professional purpose, subject to the restrictions in Section 3.
3. Prohibited Uses
You may not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software.
- Circumvent, disable, or otherwise interfere with the licence validation mechanism or any security feature of the software.
- Share, sublicense, resell, rent, lease, or otherwise transfer your licence key or access to the software to any third party.
- Use the software to facilitate deception in any context where such deception is prohibited or unlawful, including regulated professional examinations, formal assessments, or legal proceedings.
- Use the software in any way that violates applicable law or regulation.
- Create software or services substantially derived from or competing with ScriptCue.
Any breach of these restrictions terminates your licence immediately and may result in legal action.
4. Internet Connectivity and Licence Validation
4.1 What the software connects to
ScriptCue requires an internet connection for the following specific purposes only:
- Activation: verifying your licence key and registering your device when you first activate the software.
- Deactivation: releasing your activation when you transfer the software to a new device.
- Periodic licence verification: confirming that your licence remains valid (approximately every 6 hours while the application is running).
- Software update checks: checking for available software updates and displaying in-app notices about new versions or important fixes.
The software does not connect to the internet for any other purpose. No content you enter into the software — including scripts, text, or documents — is ever transmitted to us or any third party. Your content remains entirely on your device at all times.
4.2 Data transmitted during validation
Each licence validation call transmits only: your licence key identifier, a device hardware fingerprint, a timestamp, and your IP address (a by-product of any internet connection). No other data is transmitted. See our Privacy Notice for full details of how this data is handled.
4.3 Offline operation and internal licence counter
ScriptCue maintains an internal licence counter on your device that tracks the remaining duration of your current licence period. If the software cannot reach our licence servers, it will continue to function until your licence period expires according to this internal counter, at which point it will deactivate automatically — regardless of internet connectivity. To reactivate, please renew your licence and connect to the internet. If you believe your licence is still valid and the software has deactivated incorrectly, contact us at info@scriptcue.uk.
4.4 Network requirements
The software requires outbound HTTPS access to api.scriptcue.uk. If you are using ScriptCue on a corporate or managed network with outbound traffic restrictions, please ensure this domain is permitted.
5. Subscription and Payment Terms
5.1 Licence types
- Monthly Subscription: billed monthly on the anniversary of your first payment date. Access continues for each paid billing period.
- Annual Licence: a single upfront payment for twelve months of access from the activation date.
5.2 Payment
All payments are processed by our third-party payment provider. By purchasing a licence, you authorise us (through our payment provider) to charge the applicable fee to your chosen payment method. Prices are displayed at the point of purchase and may be subject to applicable taxes.
5.3 Auto-renewal
Monthly subscriptions renew automatically each month until cancelled. Annual licences renew automatically each year unless cancelled before the renewal date. We will send you a reminder email at least 14 days before any annual renewal. You can cancel at any time through your account settings or by contacting us at info@scriptcue.uk.
6. Refund and Cancellation Policy
6.1 Withdrawal right and immediate supply of digital content
ScriptCue is digital content supplied by download, activation, licence access, or other non-tangible means. If you are a consumer buying online, you normally have a statutory right to cancel the contract within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
However, where digital content is supplied before the end of the 14-day cancellation period, you lose that cancellation right once supply begins, provided that before supply began you gave your express consent to immediate supply and acknowledged that you would lose your right to cancel.
At checkout, you will be asked to confirm that you want ScriptCue to be supplied immediately and that you understand you will lose your 14-day cancellation right once supply begins. Once you have given that confirmation and supply of ScriptCue has begun, including by licence activation, download access, or access to the software, you will no longer have the statutory 14-day cancellation right.
This does not affect your statutory rights if the software is faulty, not as described, or not fit for purpose.
6.2 Annual licence — no refund
Except where required by law, no refund will be issued once the licence key has been activated, regardless of whether the software is used. This applies whether cancellation is requested one day or eleven months after activation.
6.3 Monthly subscription — cancellation for future periods
You may cancel your monthly subscription at any time. Cancellation takes effect at the end of the current billing period. Except where required by law, no refund or credit is provided for any unused days within a billing period already paid for. You will retain access to the software until the end of the last paid period.

6.4 Faulty software
Nothing in this Section limits your statutory rights under the Consumer Rights Act 2015 in respect of digital content that is not of satisfactory quality, not fit for purpose, or not as described. If the software is faulty and we are unable to repair or replace it within a reasonable time and without significant inconvenience to you, you may be entitled to a price reduction or, in some cases, a refund. Please contact us at info@scriptcue.uk if you believe the software is faulty.
7. Intellectual Property Ownership
ScriptCue, including all copies, updates, modifications, documentation, branding, and associated materials, is the proprietary work of Transcensus Ltd and is protected by copyright and other intellectual property laws. All rights not expressly granted to you in these Terms are reserved.
"ScriptCue" and associated logos and marks are the property of Transcensus Ltd. Nothing in these Terms grants you any right to use our name, trademarks, or branding.
8. Warranty Disclaimer
8.1 "As is" basis
For business users only, and subject to any rights that cannot be excluded by law, ScriptCue is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, conditions, and representations not expressly set out in these Terms, including any implied warranty of satisfactory quality, fitness for a particular purpose, or non-infringement.
For consumers, nothing in these Terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 in relation to digital content that is not of satisfactory quality, not fit for purpose, or not as described.
8.2 Specific disclaimers
We do not warrant that:
- The software will operate without interruption, error, or delay.
- The software will be compatible with every hardware configuration, operating system version, display driver, or GPU firmware.
- The transparency overlay feature will function correctly following any update to your operating system, graphics drivers, or display hardware.
- The software will be compatible with any third-party videoconferencing or screen-sharing platform, including but not limited to Microsoft Teams, Zoom, Google Meet, or Webex. These platforms may update their rendering pipelines at any time without notice, which may affect overlay visibility or performance.
You are solely responsible for testing ScriptCue in your own environment before relying on it in any professional, live, or high-stakes setting.
9. Limitation of Liability
9.1 Cap on liability
Subject to Section 9.4, our total aggregate liability to you in connection with these Terms or your use of the software — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total licence fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
9.2 Excluded losses
Subject to Section 9.4, we shall not be liable to you for: loss of profits, revenue, or anticipated savings; loss of business, contracts, or opportunities; loss of data or corruption of data; business interruption; or any indirect, special, or consequential loss or damage. This applies whether or not we have been advised of the possibility of such losses.
9.3 Particular risks
We draw your attention to the fact that ScriptCue is used as an overlay during live presentations, calls, and recordings. We are not liable for any technical failure of the software during such events, including failure of the overlay to display or remain visible.
9.4 Statutory rights preserved
Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any breach of the obligations implied by the Consumer Rights Act 2015 in respect of digital content; or any other liability that cannot be limited or excluded by applicable law.
10. Licence Transfer
Your licence key activates ScriptCue on a single device at a time. To use ScriptCue on a different device, you must first deactivate it on the current device via the Settings menu within the application. This licence is personal to you and may not be transferred, assigned, sold, gifted, or sublicensed to any other person or entity.
If your device is lost, stolen, or has suffered hardware failure and you are unable to deactivate through the application, contact us at info@scriptcue.uk and we will release the activation for you, subject to reasonable verification.
11. Term and Termination
These Terms commence on the date you first activate the software and continue until your licence expires or is terminated. We may terminate or suspend your licence immediately and without notice if you fail to pay any applicable licence fee, breach any provision of these Terms, attempt to circumvent or disable the licence validation mechanism, or if we reasonably believe a purchase was made fraudulently.
You may terminate these Terms at any time by ceasing use of the software and destroying all copies. Upon termination for any reason, your licence ends immediately and your key is deactivated. Termination does not entitle you to a refund except as provided in Section 6.4. Sections 3, 7, 9, and 12 survive termination.
12. Age Restriction
ScriptCue is intended for users aged 16 and over. By accepting these Terms you confirm that you are at least 16 years old. If you are under 18, you confirm that you have obtained the consent of a parent or legal guardian to enter into these Terms.
13. Changes to These Terms
We may update these Terms from time to time. If we make any material change, we will notify you by email at the address associated with your licence at least 30 days before the change takes effect. The updated Terms will also be published at https://scriptcue.uk/terms. Your continued use of the software after the effective date constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. You and we agree to submit to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute arising under or in connection with these Terms. Nothing in this clause affects the rights of a consumer to rely on any mandatory consumer protection laws or regulations that apply in their country of residence.
15. General
These Terms, together with our Privacy Notice and any order confirmation, constitute the entire agreement between you and us relating to ScriptCue and supersede all prior communications, representations, and agreements. If any provision is found to be invalid or unenforceable, the remaining Terms continue in full force. Our failure to enforce any provision does not waive our right to enforce it in future. We may assign our rights and obligations to a successor entity without your consent, provided the successor is bound by these Terms.
